Copyright & Trademark Information Policy

1. Introduction

This Copyright and Trademark Information Policy (“Policy”) governs all intellectual-property (“IP”) content made available on or through the website www.omnibrx.com (the “Site”), operated by OmniBRx Biotechnologies Private Limited (“OmniBRx”, “we”, “our” or “us”). By accessing, downloading, printing, sharing or otherwise using any portion of the Site, you acknowledge that you have read, understood and agree to be bound by this Policy, the Terms of Use, and all applicable IP laws, including without limitation:

  • The Copyright Act 1957 (India) as amended;
  • The Trade Marks Act 1999 (India) and corresponding Rules;
  • The Information Technology Act 2000;
  • All relevant international copyright and trademark conventions (e.g., Berne, TRIPS, Paris, Madrid).

All content on the Site—including but not limited to text, drawings, product datasheets, design specifications, photographs, icons, audio-visual clips, animations, software, downloadable files and page layout (collectively, “Content”)—is the exclusive property of OmniBRx or its licensors and is protected by statutory and common-law copyright, database-right and sui generis rights worldwide.
  3. Certain pages may contain additional proprietary notices or separate licence terms that supplement, and are deemed incorporated into, this Policy.

3. Permitted & Prohibited Use

Viewing and temporarily caching the Site for personal or intra-company informational purposes. Downloading, reproducing, modifying, publishing, publicly displaying, reverse-engineering, decompiling, creating derivative works from, framing or mirroring any Content, in whole or in part, for commercial or public use.
Printing a reasonable number of unaltered pages solely for internal evaluation of OmniBRx products or services. Removing copyright or trademark notices; using images or product schematics in marketing materials; scraping databases; systematic extraction of data.
Linking to a public page of the Site in a manner that does not misrepresent affiliation or endorsement. Using deep links that bypass disclaimers, or embedding Content within another site via iframes that obscure OmniBRx branding.

ALL OTHER RIGHTS ARE EXPRESSLY RESERVED. Any unauthorised use constitutes an infringement and may trigger civil and/or criminal liability under applicable law.

4. OmniBRx Trademarks

The following marks (word and/or logo) are trademarks or registered trademarks of OmniBRx Biotechnologies Private Limited in India and/or other jurisdictions:

OMNIBRX®, CELLBRX®, MINIBRX®, MULTIBRX™, STIRBRX®, SEEDBRX®, ProcessToGether®, and the stylised OmniBRx logo.

The absence of a trademark symbol (®, ™ or ℠) in any instance does not constitute a waiver of OmniBRx’s trademark or other IP rights. Use of our marks in advertising, promotional material, domain names, meta-tags, Search Engine Marketing (SEM) keywords, or as part of a product name is strictly prohibited without a prior, specific, written trademark licence.

5. Third-Party Trademarks & Comparative References

Third-party brands (e.g., Sartorius®, Thermo Fisher®, Cytiva®, Adobe®, Microsoft®, Google®) that may appear on the Site are the property of their respective owners. Their inclusion is for nominative-fair-use or descriptive purposes only and does not imply any sponsorship, endorsement or affiliation with OmniBRx.

6. No Patent or Trade-Secret Licence

Nothing contained in the Site, this Policy or any communication from OmniBRx shall be construed as conferring—by implication, estoppel or otherwise—any licence or right under any OmniBRx or third-party patent, utility model, design registration or trade secret. Product functionality disclosed on the Site may be covered by pending or issued patents in one or more jurisdictions.

7. User-Generated Content & Feedback

If you submit or transmit to the Site any materials, ideas, data, feedback or suggestions (“Submissions”):

  • you grant OmniBRx a world-wide, royalty-free, irrevocable, perpetual licence to use, reproduce, adapt, publish, translate, distribute, perform, display and create derivative works from such Submissions for any purpose;
  • you warrant that the Submissions do not infringe any third-party IP or contractual rights;
  • OmniBRx shall have no obligation to acknowledge, compensate or respond regarding the Submissions.

8. Digital Millennium Copyright Act / Indian Grievance Procedure

If you believe that Content on the Site infringes your copyright, please send a notice containing the following to info@omnibrx.com & Ravindra.Patel@omnibrx.com or to the postal address in §12:

  1. Identification of the copyrighted work claimed to be infringed;
  2. Identification of the allegedly infringing material and its location;
  3. Your contact information;
  4. A statement that you have a good-faith belief that use is unauthorised;
  5. A statement, under penalty of perjury, that the information is accurate and that you are authorised to act;
  6. Your physical or electronic signature.

OmniBRx will promptly investigate and take appropriate action, including removal or disabling of infringing material, consistent with the DMCA, the Copyright Act 1957, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021.

9. Export-Control Notice

Downloading or use of certain software or technical information from the Site may be subject to Indian Foreign Trade Policy, U.S. Export Administration Regulations (EAR), EU dual-use regulations, or other export-control laws. You are solely responsible for compliance with all such regulations.

10. Indemnity & Limitation of Liability

You agree to indemnify, defend and hold harmless OmniBRx, its directors, officers and employees from any loss, liability, claim or demand arising out of or related to your unauthorised use of Content or trademarks. IN NO EVENT SHALL OMNIBRX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM IP MISUSE, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.

11. Modifications to Policy

OmniBRx reserves the right to revise this Policy at its sole discretion. The “Effective Date” indicates when the latest version became operative. Continued use of the Site after any update constitutes acceptance of the revised terms.

13. Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising under or in relation to this Policy shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat, India, save where mandatory consumer or IP enforcement fora apply.
